Our Services

The advisory work Solmesa Partners takes on.

At Solmesa Partners, the services below are treated as a single continuum. A market entry mandate has diligence work inside it. An M&A process almost always turns into a strategy conversation once the deal closes. A financial advisory engagement is often the reason a client walks in the door. Clients tell us the value comes from having one partner track the thread across the whole cycle.

01

Due Diligence

A stockroom walked during an operational site visit

Diligence at Solmesa Partners is written to inform the decision in front of you, which means we open every engagement by asking what the decision genuinely is. A go/no-go on a bolt-on acquisition demands different work from a fund's IC-ready red-flag report. The scope is calibrated to the question before any interviews are booked.

Our diligence covers commercial, operational and financial ground in one integrated exercise. That integration matters: a strong revenue picture with a weak operational one tells a story that separated workstreams will miss. Where regulatory or licence-based risk is material, our sector teams handle that layer inside the same engagement.

Focal areas

  • Buy-side commercial diligence for corporate acquirers and private equity
  • Vendor diligence and sell-side prep for owners planning an exit
  • Red-flag reviews with tight turnarounds for competitive processes
  • Operational deep-dives on multi-site consumer businesses
  • Diligence on cross-border targets across four working languages

What you walk away with

a written report short enough to be read by the decision-maker, and specific enough to be defended in front of an IC.

Mergers & Acquisitions

Solmesa Partners runs M&A mandates for both sides of the table. On buy-side, that means finding off-market opportunities in consumer-facing industries and negotiating with sellers who understand the sector, so the operational fit is treated as seriously as the headline price. On sell-side, we prepare owners for a process that most of them will only run once, and we run it beside them from teaser through to completion.

The firm does not lead-manage public transactions or IPOs. Everything we work on is private, and most of it falls in the mid-market where a single partner can carry the deal from origination to close. That focus is deliberate.

Focal areas

  • Buy-side M&A for corporate and private equity acquirers
  • Sell-side advisory for founder-owned and family-owned businesses
  • Minority investments and structured equity
  • Joint ventures and partnership arrangements
  • Post-merger integration planning inside the same engagement

What you walk away with

a completed transaction, plus an integration plan that survives the first hundred days after signing.

Market Entry

An empty airport departure pier at dawn

Entering a new geography, a new sub-sector or a new format is one of the highest-risk decisions a consumer business will take. Most market entry work fails at the same point: the deck describes the opportunity beautifully, and then leaves the client alone to execute against it. Solmesa Partners stays involved through execution, because that is where entry decisions are won or lost.

Our market entry engagements typically run in two phases. The first phase produces a decision-grade read on the target market: sizing, competitive landscape, customer economics, regulatory environment and the operating cost base. The second phase, if the decision is to proceed, converts that work into an execution plan with named suppliers and hiring targets, alongside the operational risks flagged for the board.

Focal areas

  • Cross-border market entry into the UK, Europe, MENA and East Asia
  • Format extensions within an existing market (new channel, new price point, new customer segment)
  • Franchise and licensing model design for asset-light expansion
  • Local partner identification and diligence
  • Regulatory and licensing navigation for regulated consumer sectors

What you walk away with

a documented market thesis you can defend to your board, followed by an execution plan you can hand to an operator.

04

Management & Strategy

A printed rota and floor plan pinned to the wall of a back office

Strategy work at Solmesa Partners is written to be implemented. Every engagement produces two documents in parallel: a strategy memo the board can read in twenty minutes, and an execution plan the operating team can act on the following Monday. Both are written by the same partner, because the argument on page one of the memo has to survive translation into the workstream on page ten of the plan.

We take on strategy mandates at moments where the answer genuinely matters. That usually means one of two situations: growth has stalled and the reasons are contested, or a new CEO or investor is reassessing the plan. Outside those moments, most businesses need execution support more than fresh strategy work.

Focal areas

  • Group-level strategy reviews for multi-brand or multi-format operators
  • Growth strategy for businesses at an inflection point
  • Turnaround and performance improvement mandates
  • Operating model redesign, including headcount and reporting structure
  • Board-level advisory retainers for founder-led businesses

What you walk away with

a strategy the board can act on immediately, backed by an execution plan the operating team already owns.

Financial Advisory

A finance director’s desk with a funding timeline and a bound valuation document

Financial advisory is where Solmesa Partners works most closely with a client's finance function. Our mandates cover capital raising, debt structuring, valuation and restructuring and they are priced and paced around the calendar the CFO is working to. Where the work overlaps with an active M&A process, the same partner runs both threads to avoid the handoff problems that plague fragmented deal teams.

We also take on lender-side and investor-side mandates where the counterparty needs an independent read on a business's financial position. Those engagements are ring-fenced from any conflicting work, and the conflict check is documented before the scope is signed.

Focal areas

  • Growth equity and private debt fundraising for consumer businesses
  • Refinancing and capital structure reviews
  • Independent business reviews for lenders and equity holders
  • Valuation work for shareholder disputes, secondary sales and transfers
  • Restructuring advisory for businesses under operational or financial pressure

What you walk away with

a financing outcome that lands on the CFO's calendar, alongside a written trail your auditors and stakeholders can follow.
